Operator of major Metro Vancouver casinos acquired by US equity firm

Great Canadian Gaming Corporation has been acquired by Apollo Global Management in a deal worth CAD $3.3 billion, based on a share price of CAD $39.

The company is the operator of over two dozen casino properties across four provinces, including nine properties within BC.

It also operates most casino properties in the Lower Mainland, including River Rock Casino, Hard Rock Casino Vancouver, Hastings Racecourse & Casino, Chances Maple Ridge, and Elements Casino locations in Surrey and Chilliwack.

The acquisition price was a 59% premium to the 30-day volume-weighted average price as of November 9.

Following the conclusion of the deal, Great Canadian will remain headquartered in Toronto, led by a Canadian management team and board of directors.

Apollo, based in New York, states it has experience in investing in companies in highly regulated industries, including the casino business. The American investment firm intends to maintain Great Canadian’s current locations and expand its footprint over the medium- and longer-term.

“Great Canadian is a leader in the gaming and entertainment industry and, based on our experience and knowledge of the space, we see opportunities to work with their talented team to drive additional growth and value,” said Alex van Hoek , partner at Apollo, in a statement.

“With an industry-leading portfolio of assets and established presence in the best geographic markets across Canada , we are excited to help bring an enhanced experience to more guests across Canada .”

The casino operator has been battered by COVID-19 health safety closures across the enterprise, with no end in sight leading to the reopening of its properties. Within British Columbia, Great Canadian is also at the centre of a money laundering inquiry, specifically with its operations of the flagship River Rock Casino.

We believe this transaction is beneficial for our shareholders, our team members, our guests, and other stakeholders as we continue to execute on our operational and development plans into 2021 and beyond, while we navigate through this volatile time,” said Rod Baker, the CEO of Great Canadian.

“In addition, we believe Apollo’s extensive experience in the gaming sector will provide additional strategic benefits to help expand our gaming and hospitality offerings and to secure our position as a long-term market leader.”

The acquisition requires not only the approval of shareholders but also various approvals by provincial and federal regulators and the Supreme Court of BC. The deal is expected to close in the second quarter of 2021.

The River Rock Casino is one of Metro Vancouver’s main casinos (with the others being the Grand Villa Casino in Burnaby, the Hard Rock Casino in Coquitlam , and the Parq Vancouver Casino ).

CASINO CLOSED DUE TO COVID-19

As a result of the novel coronavirus and efforts to contain it, the River Rock Casino announced that, effective at midnight on March 15th, 2020, it was suspending operations until further notice.

The River Rock Casino is managed by the Great Canadian Gaming Corporation which also operates Vancouver’s Hastings Racecourse at the PNE and Coquitlam’s Hard Rock Casino. Other Lower Mainland properties include Elements Casino Surrey, Elements Casino Chilliwack and Chances Maple Ridge. The company suspended operations at all these locations as well as at all its other properties across Canada.

As of December 28, 2020, the resort and its casino in Richmond remain closed.

River Rock Casino in Richmond

Until the arrival of Parq Vancouver in 2017, the River Rock was the Lower Mainland’s largest casino, with over 1,100 slot machines. It also apparently had “the most Baccarat tables in North America,” plus regular games of chance like Poker, Roulette and Blackjack.

The River Rock Casino is right outside the Bridgeport SkyTrain Station at 8811 River Road not far from Vancouver International Airport and the Richmond Night Market (which is open from May until October). The facilities offer table games, slots and evening shows and concerts, plus its four-star hotel.

Great Canadian Gaming Corp. agreed to be acquired by Apollo Global Management Inc. in a deal valued at more than $3.3 billion, the latest shift for the casino industry that’s been hit by the COVID-19 pandemic.

Apollo will pay $39 a share for the Toronto-listed casino operator, Great Canadian Gaming said in a statement late Tuesday. That represents a 35 per cent premium to the stock’s closing price of $28.91. The transaction has been unanimously approved by Great Canadian’s board.

“We believe Apollo’s extensive experience in the gaming sector will provide additional strategic benefits to help expand our gaming and hospitality offerings and to secure our position as a long-term market leader,” Chief Executive Officer Rod Baker said in the statement.

Founded in 1982, Great Canadian operates 25 gaming, entertainment and hospitality facilities in Ontario, British Columbia, New Brunswick, and Nova Scotia. The company in March temporarily suspended operations at all its properties to contain the spread of COVID-19.

The pandemic has devastated the casino industry, as it has other businesses where people gather in large numbers, like movie theatres, concerts and restaurants. Sheldon Adelson’s Las Vegas Sands Corp. is exploring the sale of its casinos in Las Vegas, Bloomberg News reported last month, a move that would mark his exit from the U.S. gambling industry.

Apollo recognizes the challenges the industry is facing and is “committed to working with the management team, regulators and health authorities to allow the company to reopen its properties as soon as it’s safe to do so,” Alex van Hoek, a partner at the investment firm, said in the same statement.

Apollo said “certain Canadian institutions” might co-invest in the deal, without naming them. A number of Canadian funds — including the largest, Canada Pension Plan Investment Board — are limited partners in Apollo-managed funds.

The firm has a history of investments in the gambling sector. Apollo teamed up with TPG for a 2008 leveraged buyout of Harrah’s Entertainment Inc. This year, it took Italian sports betting operator Gamenet Group SpA private. In September, it was edged out by Caesars in a takeover battle for British gambling group William Hill Plc.

Apollo also agreed Tuesday to invest 500 million euros (US$591 million) in Sazka Group AS, to support the European lottery company’s expansion plans across the region and North America.

Great Canadian took a hit last year from new rules in the province of British Columbia designed to reduce money laundering in casinos. A report released in 2017 by the provincial government found evidence of suspicious cash transactions in the company’s River Rock Casino Resort south of Vancouver.

Working seven days a week for two years, Colter Developments overcame various challenges, project scope changes and a fast track schedule to successfully deliver Western Canada's Largest multi-purpose entertainment facility.

It's not difficult to understand why the River Rock Casino development was at one time the largest construction project in B.C. At 470,000 square feet, the multi-purpose entertainment complex includes a 70,000 square foot casino, five star hotel, 400,000 square foot parkade, pool, spa and 1,000 seat state-ofthe-art theatre.

The construction ingenuity and long hours required to build the complex made the River Rock Casino the most honoured project at this year's Vancouver Regional Construction Association Awards of Excellence. It was recognized with four awards across a number of categories.

Built on the former site of the Bridgepoint Market in Richmond, River Rock is the largest casino in the province and is the only casino and resort combination among Great Canadian Gaming's properties.

Construction of the $210 million River Rock Casino garnered Colter Developments the top gold award for general contractor — project over $40 million.

Colter delivered the complex on time and on budget. The three-phase project took just over 24 months, with Phase 3 (theatre) completed in September 2005.

"It was a labour of love," recalls Colter vice-president Kelly Leroux. "A lot of pressure, unique circumstances and very dedicated subtrades."

The owners originally had envisioned a $30 million renovation project but the scope of the project quickly changed to encompass a destination resort.

The massive undertaking of constructing a full range of building types had Colter managing a "small army of labourers" that peaked with a crew of 450 on site. The project is Colter's largest to date by far, says Leroux.

Demolition started in March 2003 with the old mall stripped down to the structural steel to form a portion of the casino. The new casino (Phase 1) opened in June 2004.

"I think our biggest achievement was the speed with which we put up the parkade. That was a $22 million project on its own," says Leroux, noting the four-level parkade was completed in under three months.

The 18-acre site did present some unexpected surprises.

"The site had its own idiosyncrasies. The east side was contaminated and we had to truck the soil to an environmental dump site. We were also pulling out huge timbers because it used to be an old saw mill there 100 years ago," says Leroux, adding the tanking in the theatre basement was also a big issue because of the proximity to the Fraser River.

Driving pilings 160-175 feet deep into the riverside location to meet seismic requirements proved difficult when glacial till was encountered.

"That really hurt our schedule when we were doing the pile driving. We had a lot of trouble with the glacial till," says Leroux.

The biggest challenge, however, was the schedule. The fast-track nature of the project had Colter working seven days a week to overcome changing design concepts and roadblocks in labour and material supply.

A shortage of drywallers required Colter to fly in people from Toronto and Calgary while material supply and delivery was impacted by two strikes: a Lower Mainland dump truck strike and a six-week truckers' strike at the Port of Vancouver.

The port strike left the Italian slate tiles for the hotel lobby floors inaccessible and the trucker strike made it difficult to obtain material for fill, cites Leroux.

In addition to paying overtime, Colter, along with Great Canadian, offered an incentive program to reward the crew.

"Anybody who worked a certain number of overtime hours got a week's paid vacation to Vegas. If they reached another plateau, it was Disneyland and then the highest was an all-inclusive to Mexico," explains Leroux.

Now that he has time to reflect back on the work Colter did, Leroux says he is most proud of the lobby and the theater.

"The theater itself is extraordinary technically speaking. The gala seating system is probably the biggest non-standard construction element in there," he says, explaining the seating can be transformed in minutes for different uses. "The hotel lobby is also really nice. It was a ballet of seven or eight 60-foot boom lifts working in there to get everything in."

Leroux adds the VRCA award was an especially pleasant surprise since Colter is a small family-owned company. He credits the success of the project to a great team effort from everybody, singling out in particular senior project manager Chuck Ramsay and superintendent Randy Vandenberg.
